Terms of Service
Last updated 2026-05-18. This is the default contractual position; any customer-specific Master Services Agreement or Data Processing Addendum prevails where it conflicts.
1. Introduction
These Terms of Service form a binding agreement between Conversico Ltd (a company registered in England and Wales) and the practice or business that subscribes to the Greeta AI voice receptionist service. They apply alongside the Master Services Agreement (MSA) and the Data Processing Addendum (DPA) recorded during onboarding.
If you do not have a signed MSA, these terms set the default contractual position; the signed MSA prevails where the two conflict.
These terms are governed by the laws of England and Wales. The English courts have exclusive jurisdiction.
2. The service
Greeta is an AI voice receptionist that answers missed, busy-reception, and out-of-hours calls to a practice's published phone number, captures caller intent, books only appointment types approved by the practice where an agreed practice-management-system connection is live, and sends clinical, urgent, or unclear requests to the practice's agreed team route. The service is provided as software as a service (SaaS) from infrastructure in the United Kingdom on Microsoft Azure, with the practice-specific script, booking rules, and operating boundaries recorded during setup.
Conversico will use commercially reasonable efforts to deliver the service. Any specific service levels or service credits apply only where they are expressly set out in a signed MSA.
3. Permitted use
The practice may use Greeta only for lawful purposes consistent with these terms and the practice's own legal duties. The practice is solely responsible for clinical decisions; Greeta does not provide clinical advice or make solely automated decisions producing legal or similarly significant effects on patients.
The practice must:
- ensure all staff and patients interacting with Greeta have been told the call may be recorded and processed by an AI service (Greeta makes this disclosure in the first message of every call);
- keep the practice's own contact and consent records aligned with the data Greeta surfaces;
- promptly notify Conversico of any suspected security incident affecting Greeta's processing of the practice's data;
- comply with all applicable laws including the UK GDPR, the Privacy and Electronic Communications Regulations 2003, OFCOM rules on telephony, and any clinical-care or professional regulations the practice is subject to.
4. Fees and payment
The practice pays the fees stated in its signed order form or MSA. Fees are invoiced monthly in advance unless otherwise agreed.
Conversico may change fees on at least 30 days' written notice. Existing subscriptions continue at the old rate until the next renewal date.
Late payment may result in service suspension after 14 days' written notice.
5. Data protection
Conversico acts as a data processor on the practice's instructions. The customer setup pack documents the processing terms, sub-processor chain, and international transfer mechanisms.
Conversico will not use call recordings, transcripts, or personal data for model training. Anonymised, de-identified aggregate analytics may be used to improve the service and inform reporting.
A sub-processor register is published at /legal/sub-processors and will be updated whenever the chain changes, with at least 30 days' notice to the practice before any new sub-processor is engaged.
6. Intellectual property
Conversico retains all intellectual property in the Greeta software, prompts, voice models, and underlying analytics methodology. The practice retains all intellectual property in its own data, brand assets, and content provided to Greeta.
The practice grants Conversico a non-exclusive, limited licence to process its data for the duration of the subscription, solely to deliver the service.
7. Warranties and disclaimers
Conversico warrants that it will deliver the service with reasonable skill and care and in compliance with applicable law. Beyond that warranty, the service is provided on an "as is" basis. All other warranties (express or implied, including merchantability and fitness for a particular purpose) are excluded to the extent permitted by law.
Greeta interacts with third-party platforms (Twilio, ElevenLabs, Microsoft Azure, the practice's PMS, and others) whose availability and behaviour Conversico does not control. Conversico's responsibility for those dependencies is limited to its own integration code and the operational controls described in the customer dashboard.
8. Limitation of liability
Conversico's total aggregate liability arising out of or in connection with these terms — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — is limited to the fees paid by the practice in the 12 months preceding the event giving rise to the claim.
Nothing in these terms limits liability that cannot be lawfully limited (including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law).
Neither party is liable to the other for indirect or consequential loss, loss of profit, loss of business, or loss of goodwill.
9. Termination
Either party may terminate the subscription for convenience on 30 days' written notice. Termination for material breach takes effect immediately if the breach is not remedied within 30 days of written notice.
On termination the practice will have at least 30 days to export its data. Conversico will then delete or irreversibly anonymise the data in line with the retention schedule in the DPA and the practice's hard-delete requests.
10. Changes to these terms
Conversico may change these terms on at least 30 days' written notice. The current version is always published at conversico.com/terms with the "Last updated" date below.
Continued use of the service after the notice period constitutes acceptance of the updated terms. The practice may terminate without penalty during the notice period if it objects to the change.
